Clero is an AI-agent-operated, cross-border creator-marketing platform, operated primarily through an AI chat interface, that automates campaign creation, creator matching, offer negotiation, content review, live-post verification, and creator payouts across Instagram and TikTok. These Brand Terms of Service (these "Terms") are a binding agreement between Tokko Labs, Inc. (d/b/a Clero, "Clero," "we," "us," or "our"), a Delaware corporation registered to do business in the State of Washington, and the company or individual that registers a Brand account ("Brand," "you," or "your"). PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE A BINDING ARBITRATION CLAUSE AND A CLASS-ACTION WAIVER (SECTION 22) THAT AFFECT YOUR LEGAL RIGHTS.
1. Acceptance of These Terms
By registering a Brand account, clicking to accept, or accessing or using the Clero platform (the "Platform") in any way, you accept and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you enter into these Terms on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity, and "you" refers to that entity. If you do not agree to these Terms, you must not access or use the Platform. You must be at least eighteen (18) years old to accept these Terms or act as a Brand's authorized representative.
2. Definitions
- Brand — the business customer that uses the Platform to run creator-marketing Campaigns.
- Creator — an independent third-party content creator who contracts with Brands through the Platform.
- Maker — an independent contractor engaged by Clero for content evaluation, trend analysis, or data-analysis support. Makers do not produce creative content for Brands.
- Platform — the Clero websites, applications, chat interfaces, APIs, dashboards, and related software and services operated by Clero.
- Agents — the AI systems operated by Clero, including product-analysis, campaign-briefing, creator-matching, offer-management, content-review, verification, and customer-support agents.
- Campaign — a creator-marketing engagement initiated by a Brand through the Platform, defined by a campaign brief and directed at a single target platform (Instagram or TikTok).
- Offer — a proposal sent through the Platform to a Creator to participate in a Campaign at a stated price, scope, and set of usage rights.
- Engagement — the binding arrangement formed when a Creator accepts an Offer and the Brand's payment is completed.
- Content — the creative work a Creator produces and delivers under an Engagement, including images, video, captions, audio, and related assets.
- Live Post — the published social-media post containing the Content on the Creator's connected channel.
- Secondary Usage Rights — the expanded Content-use rights described in Section 11.3, granted only when the Offer for the Engagement includes secondary usage.
- Brand Level — the tier (currently Standard, Pro, or VIP) that Clero assigns to a Brand account at its discretion and that determines the Service Fee rate applied at checkout.
- Service Fee — the fee retained by Clero for each matched Engagement, calculated as a percentage of the Creator compensation according to your Brand Level as described in Section 6.1 (currently twenty percent (20%) for Standard accounts), shown at checkout as the "Clero service charge," plus any other fees displayed at checkout.
- Sourced Creator Profile — a creator profile that Clero compiles from publicly available information about a creator who has not yet registered on the Platform, as described in Section 5.
- Authorized Application — a third-party application that you authorize to access your Clero account data through the Platform's OAuth interface, as described in Section 17.
- Tokens — the prepaid units used to meter AI chat usage on the Platform, described in Section 8.
- Stripe — Stripe, Inc. and its affiliates, the third-party payment processor that processes Brand payments and disburses Creator payouts.
3. Eligibility, Accounts, and Verification
You must (a) be a legal entity or an individual with capacity to contract; (b) not be located in, or ordinarily resident in, a country or region subject to comprehensive US sanctions, and not be a person barred under US export-control or sanctions laws; and (c) provide accurate, complete, and current registration information and keep it updated. You are responsible for all activity under your account and for keeping your credentials secure, and you must notify us promptly at admin@clero.com of any suspected unauthorized access. We may require identity, authority, or business verification at any time and may decline, limit, suspend, or condition access based on the results.
Brand accounts require a verified mobile phone number. During registration (or when we later require it) you must enter a mobile number in a country we support and confirm a one-time code we send by SMS; standard carrier message and data rates may apply. One verified number is associated with each account, and you must keep it current. We use your number to verify identity, secure and recover your account, detect duplicate or fraudulent accounts, and contact you about your account, as described in the Privacy Policy. You may also register or sign in through supported identity providers (currently Google and Kakao); your use of those providers is subject to their own terms, and we receive from them only the information described in the Privacy Policy.
4. The Platform and AI Agents
The Platform allows you to describe a product through chat or upload, receive AI-generated product analysis and a campaign brief, review recommended bundles of Creators matched to your budget and preferences, send Offers, negotiate, review submitted Content, and have verified Creator payouts handled automatically. Agent runs may continue after you disconnect from a session, and you will be notified when results are ready.
You acknowledge and agree that: (a) Agent outputs — including product analysis, briefs, creator recommendations, pricing suggestions, trend data, and content-review feedback — are generated by probabilistic AI systems, may be inaccurate or incomplete, and are provided for your convenience only; (b) you are solely responsible for reviewing and approving briefs, Offers, and Content before acting on them; (c) Clero does not create Content for Brands and does not guarantee any campaign result, reach, engagement, conversion, or other business outcome; and (d) Clero may modify, add, or discontinue Platform features at any time.
When you paste a product-page URL into chat, Clero's systems load and render that page — including capturing screenshots, product images, and text — to analyze your product and draft your Campaign; you represent that you are entitled to direct us to access that page and that its content is Brand Materials under Section 11.1. The Agents may keep a short, AI-curated memory of your stated preferences and past Campaigns to personalize later sessions; you can ask us to reset it at any time at support@clero.com. Creator recommendations are produced by deterministic ranking rules (platform and market filters, relevance scoring, and budget allocation) rather than by generative AI, and may include Sourced Creator Profiles as described in Section 5.
5. Campaigns, Offers, and Binding Engagements
Offers you send are proposals and do not bind you until a Creator accepts and your payment is completed, at which point a binding Engagement is formed directly between you and the Creator, with Clero acting as the platform that facilitates the Engagement. You may withdraw an Offer at any time before acceptance. Counter-offers replace the prior Offer. Each Offer is scoped to a single platform (Instagram or TikTok) with per-platform pricing; if you select both platforms for a Creator, two separate Offers are created, each with its own price and its own paid-partnership, boost, and Story settings.
Creator profiles presented to you may include Sourced Creator Profiles — profiles Clero compiles from publicly available information (such as a public handle, follower count, bio, public posts, and estimated engagement) about creators who have not yet registered on the Platform. Sourced Creator Profiles are provided as-is, may be incomplete or out of date, and have not been verified by the creator. An Offer sent to a Sourced Creator Profile is held until that creator registers on the Platform and connects the matching social-media account; no payment is collected and no Engagement is formed unless and until the creator accepts. Clero does not guarantee that any creator — sourced or registered — will register, accept an Offer, or perform, and you may withdraw a held Offer at any time.
After an Engagement is formed, you may request cancellation through the Platform or by contacting support@clero.com; cancellation and any associated refund are subject to Section 6.4 and Clero's reasonable determination, taking into account work the Creator has already performed. Clero's determination of whether Content and Live Posts satisfy the accepted brief, and whether a Live Post is verified, is final and binding for Platform purposes, including payout release and refunds.
6. Fees, Payments, and Refunds
6.1 Fees
For each matched Engagement you pay (i) the Creator compensation agreed in the accepted Offer and (ii) Clero's Service Fee, calculated at the rate for your Brand Level — currently twenty percent (20%) of the Creator compensation for Standard accounts, ten percent (10%) for Pro accounts, and zero percent (0%) for VIP accounts — and shown at checkout as the "Clero service charge," together with any taxes and any other fees displayed at checkout. New accounts start at the Standard level. Clero assigns, upgrades, and downgrades Brand Levels at its sole discretion and may change the rates or tiers with notice; a rate change applies only to Engagements paid after the change takes effect. All amounts are stated in US dollars unless otherwise displayed.
6.2 Payment Processing
All payments are processed by Stripe through Stripe Checkout. You authorize Clero to initiate charges through Stripe for amounts you approve at checkout. Your use of Stripe's services is subject to the Stripe Services Agreement and Stripe's privacy policy. Clero does not receive or store full card numbers or bank credentials. Stripe may display prices and collect payment in your local currency; Clero settles in US dollars, and the exchange rate and any conversion fee are determined by Stripe. Where the Platform offers local payment methods (for example, in Korea), those methods are provided by Stripe and its partners under their own terms.
6.3 Payment Completes Your Obligation
When your payment for an Engagement is successfully completed through Stripe, your payment obligation to the Creator for that Engagement is fully satisfied. Clero is thereafter responsible for causing the Creator's compensation to be disbursed through Stripe Global Payouts in accordance with the payout schedule described in the Creator Terms of Service. Creators' sole recourse for compensation is against Clero under that schedule, not against you, provided your payment was completed and not reversed.
6.4 Refunds
If the Creator never posts the Content for an Engagement, you will receive a full (100%) refund of the amounts you paid for that Engagement. All other refunds — including for cancelled Engagements, revision disputes, or dissatisfaction with Content that satisfies the accepted brief — are within Clero's reasonable discretion. Refunds are issued through Stripe to the original payment method in the currency originally charged; where currency conversion applied, the amount you receive may differ from the amount paid because of exchange-rate movement, which is not Clero's responsibility. Any advertising budget you declare for boosting a Live Post is paid by you directly to the social-media platform, never passes through Clero, and is not refundable through the Platform. Initiating a chargeback for amounts that are not refundable under these Terms is a material breach, and we may suspend your account and recover the disputed amounts and our costs.
6.5 Taxes
You are responsible for all taxes, duties, and government charges arising from your purchases (other than taxes on Clero's net income). Where Clero is required to collect sales tax, VAT, or similar taxes, they will be added at checkout.
7. Payment Processing Role; No Money Transmission
Clero is a marketing-services platform, not a bank, money-services business, or money transmitter, and does not offer money-transmission, payment-processing, escrow, or currency-exchange services to you or to Creators. All funds are processed, held, and settled by Stripe, a regulated payment processor; Clero does not take custody of your funds for transmission to third parties. Amounts you pay at checkout are paid to Clero as consideration for the Engagement and the Platform services, and Clero separately owes and pays Creator compensation through Stripe Global Payouts as described in Section 6.3. Nothing in these Terms is intended to create, and shall not be construed as creating, a money-transmission relationship between you and Clero.
8. AI Tokens and Usage Limits
AI chat usage on the Platform is metered in Tokens subject to per-user usage limits. When you reach your limit, chat features pause until the limit resets or you add Tokens. You may purchase Token packages through Stripe Checkout at the prices displayed on the Platform (in US dollars or, where offered, your local currency), and Clero may grant bonus Tokens at its discretion. Tokens: (a) are a limited, personal, non-exclusive, non-transferable, revocable license to use metered Platform features; (b) are not money, deposits, stored value, or property, have no cash value, and are not redeemable or exchangeable for cash; (c) are non-refundable except where required by applicable law; and (d) are consumed at rates that Clero may adjust — together with usage limits, package sizes, and prices — as we update the Platform, with notice for material changes. Purchased Tokens carry over and do not expire while your account remains open and in good standing; bonus or promotional Tokens may carry an expiration date and may be revoked at any time. If your account is terminated for breach or closed by you, unused Tokens are forfeited to the maximum extent permitted by law.
9. Product Shipment
If your Campaign requires physical product shipment, you are solely responsible for shipping the product to the Creator promptly at your cost after the Platform collects the Creator's shipping details. Products shipped to Creators are promotional items; you are not entitled to their return, and product cost is not refundable through the Platform. Delays in your shipment extend the Creator's delivery timeline correspondingly. You are solely responsible for the safety, labeling, and regulatory compliance of your products, and for customs duties and import requirements when shipping across borders. You will record the carrier and tracking number in the Platform; Clero shares tracking numbers with its shipment-tracking provider so that both parties can follow delivery status, and the Creator confirms receipt through the Platform. The Creator's shipping details — name, address, and phone number — are disclosed to you solely to ship the product for that Engagement. You must not use them for any other purpose, must not retain them longer than needed, and must protect them in accordance with applicable data-protection law.
10. Content Review, Approval, and Verification
Creators submit Content through the Platform before posting. Our Agents check submissions against the brief and flag discrepancies; you may accept the Agent's assessment or add your own feedback, and declined Content is routed back to the Creator for revision. You will review submissions and respond within a reasonable time; unreasonable delay or repeated rejection of Content that satisfies the accepted brief may be treated by Clero as acceptance for payout purposes. After approval, the Creator posts the Content and submits the Live Post URL, which Clero verifies. You are responsible for the final review of Content before approval, including legal and regulatory review specific to your products and claims. Live-post verification is performed by Clero personnel with the assistance of automated checks.
If your Offer includes a paid-partnership designation, you must provide an accurate handle for your own account on the relevant platform; Clero may check that the handle exists but does not verify that you control it, and you are responsible for approving the Creator's partnership tag on that platform where the platform requires it. If you elect to boost or promote a Live Post with advertising spend, you arrange and pay for that spend directly with the social-media platform; Clero does not process, guarantee, or refund it.
11. Intellectual Property and Content Licenses
11.1 Brand Materials
You retain ownership of your trademarks, product images, product information, and other materials you provide ("Brand Materials"). You grant Clero and its Agents, and each matched Creator, a worldwide, royalty-free, non-exclusive, sublicensable license to use, reproduce, modify, and transmit Brand Materials as needed to (a) operate the Platform and execute your Campaigns, (b) perform AI product analysis and campaign briefing, and (c) conduct quality, safety, and compliance review. You represent and warrant that you have all rights necessary to grant this license.
11.2 Creator Content — Ownership and Standard Rights
Creators retain ownership of the Content they create. For every completed Engagement, you receive a worldwide, non-exclusive, royalty-free right to view the Content, share and embed the Live Post in its published form, and use the Content for your internal records, reporting, and archival purposes.
11.3 Secondary Usage Rights
If and only if the Offer for an Engagement includes secondary usage, the Creator grants both you and Clero a worldwide, perpetual, irrevocable, royalty-free, non-exclusive, transferable, and sublicensable license to use, reproduce, distribute, publicly perform, publicly display, adapt, and reformat the Content, in whole or in part, in any media now known or later developed, for advertising, marketing, and promotional purposes — including reposting on your owned channels, paid and boosted media, whitelisting, e-commerce product pages, and Clero's own marketing and promotion of the Platform — without additional compensation beyond the accepted Offer amount. Adaptations are limited to reasonable edits such as cropping, resizing, reformatting, subtitling, and translation; you may not use the Content in a way that is defamatory or misleading as to the Creator's views. If the Offer does not include secondary usage, you must not reuse, repost, or repurpose the Content beyond the standard rights in Section 11.2 unless you separately obtain rights from the Creator.
11.4 Clero Platform IP
Clero and its licensors own all right, title, and interest in and to the Platform, the Agents, all underlying models, algorithms, software, data compilations, match scores, documentation, and look and feel. No rights are granted to you except the limited right to use the Platform in accordance with these Terms. You may not use Platform outputs to develop a competing product or to train machine-learning models.
12. Publicity, Reviews, and Feedback
You grant Clero the right to identify you as a customer and to use your name, logo, and non-confidential Campaign results in Clero's customer lists, case studies, and marketing materials; you may opt out at any time by emailing support@clero.com. If you provide suggestions or feedback about the Platform, you grant Clero a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or compensation.
After an Engagement completes, you may review the Creator, and the Creator may review you, using a star rating, selectable attributes, and an optional comment. Reviews you write must be honest, based on your own experience with that Engagement, and free of unlawful, defamatory, discriminatory, or confidential content. Reviews about you and your average rating may be displayed to Creators and other Platform users, and reviews about Creators are displayed to Brands. You grant Clero a perpetual, worldwide, royalty-free license to display, reproduce, and use reviews on and in connection with the Platform. Clero may, but has no obligation to, moderate, edit for compliance, or remove any review, and is not responsible for the content of reviews written by others.
13. Automated Decision-Making and AI Disclosures
The Platform uses automated processing for creator matching and ranking, bundle recommendation, offer management, content-compliance flagging, and live-post verification support. Automated outputs may contain errors and are not professional, legal, or financial advice. You may request human review of a Platform decision that materially affects your account by contacting support@clero.com. Campaign titles, briefs, and messages exchanged with Creators may be machine-translated at your or a Creator's request; translations are provided for convenience only, and the original text controls. Clero may use data related to your use of the Platform, in anonymized and aggregated form, to operate, evaluate, and improve the Platform and Agents.
14. Acceptable Use and Prohibited Conduct
You must not: (a) misrepresent your identity, authority, products, or claims; (b) use the Platform for any unlawful, deceptive, or fraudulent purpose; (c) run Campaigns for products that are illegal, dangerous, or that require licenses you do not hold, or that involve regulated goods (such as drugs, weapons, tobacco, gambling, or adult content) without Clero's prior written approval; (d) direct or pressure a Creator to produce content that violates law, platform policies, or third-party rights, or to skip required advertising disclosures; (e) contact, solicit, or pay Creators outside the Platform to avoid fees (see Section 15); (f) scrape, crawl, data-mine, reverse-engineer, or copy the Platform or its data, or access it by automated means other than our published interfaces; (g) probe, disrupt, or overload Platform security or infrastructure; (h) upload malware or malicious code; or (i) use the Platform to build or benchmark a competing service.
15. Non-Circumvention
For twelve (12) months after your first match with a given Creator on the Platform, you will not solicit, engage, hire, or compensate that Creator for creator-marketing services outside the Platform, whether directly or indirectly. If you do, you agree to pay Clero, as liquidated damages and not as a penalty, an amount equal to twenty percent (20%) of the total compensation paid or payable to that Creator off-platform, which the parties agree is a reasonable estimate of Clero's loss. Clero is also entitled to injunctive relief and reasonable attorneys' fees. This Section survives termination of these Terms.
16. Copyright Complaints and DMCA Policy
We respond to copyright infringement notices that comply with the Digital Millennium Copyright Act (17 U.S.C. § 512). Send notices, including all elements required by 17 U.S.C. § 512(c)(3), to our designated agent:
Tokko Labs, Inc. — DMCA Agent 300 Deschutes Way SW, STE 208, MC-CSC1, Tumwater, WA 98501, United States admin@clero.com
We will process valid notices and counter-notices in accordance with the DMCA and will terminate the accounts of repeat infringers in appropriate circumstances.
17. Third-Party Services and Authorized Applications
The Platform interoperates with third-party services, including Stripe, Instagram (Meta Platforms), TikTok, identity providers used for sign-in (Google, Kakao), shipment-tracking providers, and third-party AI model providers. Your use of those services is governed by their own terms and policies, and Clero is not responsible for their acts, omissions, availability, policy changes, or data practices. Social-media platform actions — including API changes, content removal, account restrictions, or feature deprecations — may affect Campaigns, and Clero has no liability for them.
The Platform also lets you authorize third-party applications to access your Clero account data (such as chat, profile, Campaign, Offer, and asset data) within the scopes you approve on the consent screen. Authorized Applications are not operated or endorsed by Clero, and their use of your data is governed by their own terms and privacy practices. Actions taken in your account by an Authorized Application are treated as your actions. You may revoke an application's access at any time in account settings, and Clero may suspend or block any application that violates these Terms, exceeds its authorized scope, or poses a security or legal risk. Clero is not liable for any loss caused by an Authorized Application.
18. Disclaimer of Warranties
THE PLATFORM, THE AGENTS, AND ALL RELATED SERVICES AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLERO DISCLAIMS ALL WARRANTIES AND CONDITIONS, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR TRADE USAGE. CLERO DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT AI OUTPUTS WILL BE ACCURATE OR RELIABLE, OR THAT ANY CAMPAIGN WILL ACHIEVE ANY PARTICULAR RESULT. YOU USE THE PLATFORM AT YOUR OWN RISK.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) CLERO AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR ANTICIPATED SAVINGS, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) CLERO'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (i) THE TOTAL SERVICE FEES AND TOKEN FEES YOU PAID TO CLERO IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (ii) ONE HUNDRED US DOLLARS (US$100). CLERO IS NOT LIABLE FOR THE ACTS OR OMISSIONS OF CREATORS, MAKERS, OTHER USERS, OR THIRD-PARTY SERVICES. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, OR TO A PARTY'S FRAUD OR WILLFUL MISCONDUCT, AND DO NOT LIMIT YOUR PAYMENT AND INDEMNIFICATION OBLIGATIONS.
20. Indemnification
You will defend, indemnify, and hold harmless Clero, its affiliates, and their respective officers, directors, employees, contractors, and agents from and against all third-party claims, demands, actions, and proceedings, and all resulting losses, damages, liabilities, penalties, costs, and expenses (including reasonable attorneys' fees), arising out of or relating to (a) your Brand Materials, products, or product claims; (b) your Campaigns and your use of Content; (c) your breach of these Terms or violation of applicable law (including advertising, consumer-protection, and product-safety law); or (d) your negligence or willful misconduct. We may assume exclusive control of the defense of any indemnified claim, in which case you will cooperate fully.
21. Suspension and Termination
We may suspend or terminate your access to all or part of the Platform immediately if we reasonably believe (a) you have materially breached these Terms; (b) your use creates fraud, security, legal, or regulatory risk; (c) required payment has failed or been reversed; or (d) suspension is required by law or by a third-party platform. Otherwise, we may terminate for material breach that remains uncured ten (10) days after notice. You may close your account at any time; amounts due for existing Engagements remain payable, and licenses already granted for completed Engagements survive. Sections 6, 7, 11, 12, 15, 16, 18, 19, 20, 22, and 23 survive termination.
22. Governing Law, Arbitration, and Class-Action Waiver
These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-laws rules; the United Nations Convention on Contracts for the International Sale of Goods does not apply.
Informal Resolution First. Before starting a formal proceeding, you must send a written description of the dispute to admin@clero.com and give us thirty (30) days to resolve it informally.
Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform that is not resolved informally will be finally resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, seated in Wilmington, Delaware, conducted in English, before a single arbitrator. The arbitration may be conducted by videoconference where appropriate. Judgment on the award may be entered in any court of competent jurisdiction.
Class-Action Waiver. You and Clero each waive any right to bring or participate in a class, collective, consolidated, or representative action, and disputes may not be arbitrated on a class basis. If this waiver is found unenforceable as to a particular claim, that claim shall proceed in court, not arbitration.
Carve-Outs. Either party may (a) bring an individual claim in small-claims court, or (b) seek injunctive or other equitable relief in any court of competent jurisdiction for actual or threatened infringement or misuse of intellectual property or confidential information, or breach of Section 15.
Opt-Out. You may opt out of this arbitration agreement by emailing admin@clero.com a clear opt-out statement, including your account email, within thirty (30) days of first accepting these Terms.
23. General Provisions
Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including natural disasters, war, terrorism, epidemics, government action, labor disputes, internet or utility failures, or third-party platform outages. These Terms, together with the Privacy Policy and any Campaign briefs or order documents accepted through the Platform, are the entire agreement between you and Clero regarding the Platform and supersede all prior agreements on that subject. You may not assign these Terms without our prior written consent; Clero may assign them in connection with a merger, acquisition, financing, reorganization, or sale of assets. If any provision is held unenforceable, it will be enforced to the maximum extent permitted and the remainder will remain in effect. Our failure to enforce a provision is not a waiver. There are no third-party beneficiaries to these Terms except as expressly stated (including Creators' payment-discharge rights under Section 6.3). Notices to Clero must be sent to admin@clero.com; we may give you notice by email to the address on file or through the Platform. These Terms are drafted in English; translations are provided for convenience only, and the English version controls if there is any conflict.
24. Changes to These Terms
We may update these Terms from time to time. For material changes we will give at least fourteen (14) days' advance notice by email or through the Platform, and the updated Terms will show a new version and effective date. Your continued use of the Platform after the effective date constitutes acceptance. If you do not agree to updated Terms, you must stop using the Platform and may close your account before they take effect.
